Welcome to E-Guider! These terms and conditions govern the use of our services and outline the billing, payment, and termination policies. By engaging with E-Guider and availing our services, you agree to be bound by these terms. Please read them carefully.
Payments and Invoicing
1.1 Payments against invoices are to be cleared within 5 working days after the submission of the invoices.
1.2 For projects with a value above US Dollar 150, a 50% payment must be made before the project starts. An additional 25% payment is required when the project is 80% completed, and the final 25% payment is due before project handover.
1.3 If the Project Order Value is below US Dollar 150, full payment must be made before the project starts.
1.4 Express delivery may require full payment or an additional cost.
1.5 The exact amount specified in the invoice must be completed to avoid project delays or handover issues.
1.6 E-Guider will be unable to hand over the project if any payments remain due. The outstanding amount must be cleared before the project can be transferred.
1.7 Bonus services, product uploads, or any other additional tech solutions beyond the scope of web development will be handled separately after the project handover.
Ownership and Asset Liability
2.1 Once the project is handed over to the client, including all credentials, E-Guider relinquishes ownership and liability for the assets.
2.2 E-Guider will not take any responsibility for any damage or malfunctions that occur after the project handover.
2.3 If the client fails to clear due payments within 60 days from the due date on the invoice, the ownership of the assets can no longer be claimed by the client.
2.4 In the event of unpaid invoices, E-Guider reserves the right to put the website or project on temporary pause until the outstanding payment is settled.
3.1 Either party may terminate the engagement with a written notice in case of any breach of these terms and conditions.
3.2 If the client decides to terminate the project before completion, they will be liable to pay for the completed work and any additional costs incurred.
3.3 If E-Guider decides to terminate the project due to client misconduct or non-compliance with these terms, the client shall be liable for the completed work and any applicable penalties.
3.4 In the event of delays caused by the client affecting the development or handover procedures of the digital program, E-GUIDER shall not assume liabilities for the digital assets after a specified time frame 60 working Days. Should the client fail to claim ownership within 365 days and in the absence of remaining due payments, E-GUIDER reserves the right to take over ownership of the assets. However, upon completion of outstanding payments, E-GUIDER will continue to hold liabilities for the assets until they are claimed by the client or until further progress is made on the project.
Legal Compliance and Usage
4.1 Clients are responsible for ensuring that all provided materials, including text, images, and other media, do not infringe upon any copyrights, trademarks, or other intellectual property rights.
4.2 Clients must comply with all applicable laws, regulations, and guidelines related to the use of our services and the digital solutions provided.
4.3 Clients are respectfully asked to confirm their acceptance of this handover statement within three (3) working days by replying to the handover email. Should no response be received within this specified timeframe, the handover statement will be considered accepted by the client.
5.1 Both parties agree to keep confidential any proprietary or sensitive information exchanged during the project.
5.2 E-Guider will not share or disclose any client’s business strategies or confidential information without prior consent.
5.3 E-GUIDER reserves the right to maintain one additional user access within the client’s digital program for monitoring or support purposes. This access will not be utilized without the explicit permission of the client. The client retains the authority to revoke this access at any time without any obligations or restrictions.
6.1 In the event of any dispute, both parties agree to attempt to resolve the matter through negotiation and mediation in good faith.
Amendments to Terms and Conditions
7.1 E-Guider reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the updated terms.
